3.5 When you create content by engaging in the student community functionality, you accept and agree to be bound by, and comply with: (i) these Terms of Use, and (ii) our Acceptable Usage Policy: https://partners.idp.com/acceptable-usage-policy, which form a legally binding agreement between you and IDP Limited. If you do not want to be bound by these Terms of Use, do not Submit Content.
3.6 In particular, but without limitation, you confirm the following:
4.1 In these terms, "User Content" means Content that you Submit to a User-generated Website, for whatever purpose. This information and these materials have not been verified or approved by us and the views expressed by users on any User-generated Website do not represent our views or values.
4.2 Any User Content is, and will be treated as, non-confidential and non-proprietary. IDP may use any User Content and reproduce it for any purpose. Specifically, IDP is free to use for any purposes whatsoever (including, but not limited to, the advertising, developing, manufacturing and marketing of products and services) any artwork, concepts, ideas or suggestions contained in any User Content. Any such use is without compensation to you.
4.3 By Submitting Content, you also warrant that: (i) you own the User Content, (ii) to the best of your knowledge, the User Content is accurate, complete and not misleading, (iii) the User Content is not illegal or unlawful, (iv) the User Content does not violate any third party's rights (including, but not limited to, intellectual property rights), and (v) the User Content is not capable of giving rise to legal action against you or us or a third party (in each case under applicable laws). You will be liable to us and indemnify us for any breach of the foregoing warranty.
4.4 IDP Connect is under no obligation to use the User Content. You understand that IDP Connect employs both internal and external resources which may have developed or may in the future develop ideas identical or similar to the User Content and that IDP Connect is only willing to consider the User Content on these terms.
4.5 IDP Connect has the right to disclose your identity to any third party who is claiming that any of the User Content constitutes a violation of their intellectual property rights, or of their right to privacy.
4.6 You acknowledge that all Content made available on User-generated Websites is the sole responsibility of the person from which such Content originated. We accept no responsibility for the accuracy of any Content posted on a User-generated Website by you or any third party.
4.7 To request removal of User Content from a User-generated Website, please email privacyofficer@idp.com. You must include a link to the User Content you wish to have removed. IDP Connect will use reasonable efforts to remove the User Content within ten business days of your request.
5.1 You agree that our website and all content contained in it are protected by Intellectual Property Rights that either belong to or are licensed to us.
5.2 You acquire no proprietary interest in our website or content provided by us or others and may not use them in any way except as expressly permitted by these terms.
5.3 You may view, print, download or temporarily store such content for your personal, noncommercial reference without alteration, addition or deletion. You may not otherwise copy, reproduce, retransmit, distribute, publish, commercially exploit or otherwise transfer such content. You acknowledge that you will not acquire any intellectual property rights by downloading or otherwise using any such content.
5.4 When you Submit User Content, you grant IDP Connect Limited and its affiliates a nonexclusive, fully paid-up, irrevocable, perpetual, royalty-free, worldwide license (including the right to sub-license through multiple tiers) to use, adapt, display, distribute, modify, process, prepare derivative works, publicly display, publicly perform, publish, reproduce and transmit User Content, in part or in full, in any form, medium or distribution method, for any purpose, including without limitation, any purpose relating to the advertising, marketing, and promotion of IDP Connects' and its affiliates' goods and services. These uses may include, but are not limited to, posting User Content on social networks or websites, transmitting User Content via emails, displaying User Content on computers or mobile devices, or reproducing User Content in print.
You likewise authorise IDP Connect to adapt such content and you agree to waive your moral rights to object to any derogatory treatment, or to be identified as the author, of the material in question.
6.1 We have the right in our absolute discretion to alter, edit, remove, suspend or refuse any content without notice, if we consider that the content is objectionable or violates these terms or for any other reason.
